Welcome to PEPE by Code Vibe.

These Terms of Service (“Terms”) describe the terms and conditions by which you may access and/or use our website(s), applications (including web, mobile, and messaging interfaces like WhatsApp where supported), and any related software, documentation, and online, mobile-enabled, or digital services (collectively, the “Service”) provided by Code Vibe LLC (“Code Vibe,” “PEPE,” “we,” “our,” or “us”). 

By accessing or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.

1. Eligibility; Accounts; Suspension and Termination

1.1 Eligibility

You must be at least 13 years old to use the Service.

1.2 Your User Account; Security

Your account (“User Account”) gives you access to certain services and functionalities that we may establish and maintain from time to time. You are solely responsible for activity that occurs on your User Account. You will keep passwords and authentication credentials secure and not share them with others. We encourage strong passwords. We disclaim liability for losses caused by unauthorized use of your User Account, and you will notify us immediately of any breach of security or unauthorized use. 

1.3 Suspension and Termination

We may, with or without prior notice, permanently terminate or temporarily suspend your access to the Service without liability and for any or no reason, including if you violate these Terms. 

2. Your Use of the Service

2.1 License

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service.

2.2 Restrictions and Acceptable Use

Except to the extent prohibited by applicable law, you will not (and will not enable any third party to): disassemble, reverse engineer, decode, decompile, license, resell, or modify any part of the Service, and you will comply with the restrictions and acceptable use rules described in this section. 

You also agree not to use the Service in ways that:

  • violate laws or regulations

  • infringe intellectual property or privacy rights

  • transmit malware or harmful code

  • interfere with or disrupt the Service

  • attempt unauthorized access to systems or accounts

  • misrepresent affiliation with Code Vibe or imply endorsement without permission.

2.3 User Responsibilities; Sensitive Information

You retain sole responsibility for your account credentials and any third-party accounts you connect. 

Sensitive Information: The Service is not designed for you to submit highly regulated sensitive information (for example, government ID numbers, protected health information, or other categories regulated under laws like HIPAA, GLBA, or COPPA). Do not submit such data through the Service unless you have a clear legal right and need to do so. 

(For clarity: your messages may still contain sensitive information you choose to include. If you submit it, it will be treated as User Content under Section 3 and processed as needed to provide the Service.)

3. Email Inbox Access

PEPE by Code Vibe may allow users to connect their email accounts (for example, Gmail) in order to enable features that rely on reading or processing emails within the Service.

When you choose to connect your email account, we may access certain email data necessary to provide the requested functionality.

This may include:

  • email metadata (such as sender, recipient, timestamp, and subject line)

  • email content and attachments

  • account identifiers required for authentication

We access this information only with your explicit authorization through the email provider’s authentication system (for example, Google OAuth).

3.1 How We Use Email Data

Email data accessed through connected inboxes may be used to:

  • analyze email content requested by the user

  • extract relevant information needed to power PEPE features

  • generate responses or outputs requested by the user

  • help users interact with or process their communications using AI tools.

3.2 AI Processing

To provide AI-powered functionality, relevant portions of email content may be transmitted to third-party AI providers such as OpenAI or Anthropic in order to generate responses or perform analysis.

3.3 Storage of Email Data

PEPE may store certain email data and analysis results associated with your account in order to:

  • provide persistent functionality

  • allow users to revisit past results

  • improve reliability of the Service.

3.4 Limited Use of Google User Data

If you connect a Google account, PEPE’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

In particular:

  • Google user data will not be used for advertising purposes.

  • Google user data will not be sold to third parties.

  • Google user data will only be used to provide or improve user-facing features of the Service.

3.5 Revoking Access

You may revoke PEPE’s access to your email account at any time by:

  • disconnecting the integration in your account settings, or

  • removing the app’s access from your email provider’s security settings.

4. User Content

4.1 Ownership

As between you and us, you (or your licensors) own your “User Content” (your prompts, messages, files, uploads, and any other content you provide through the Service). 

4.2 License You Grant to Us

We claim no ownership rights over User Content. However, you grant (and represent you have all rights necessary to grant) a non-exclusive, royalty-free license to use, copy, store, process, reproduce, modify, and display your User Content:

  1. to maintain and provide the Service,

  2. to improve the Service and our products (for example, debugging, safety, and quality review), and

  3. as otherwise described in our Privacy Notice or as authorized by you.

Important PEPE detail: This license includes the right to store your conversations and transmit relevant parts of User Content to third-party model providers (for example, OpenAI or Anthropic) strictly to provide the Service.

4.3 Responsibility for User Content

We take no responsibility and assume no liability for User Content. You are solely responsible for your User Content and the consequences of making it available through the Service. 

5. Third-Party Services

Your use of third-party services accessed through the Service is at your own risk. We are not responsible for third-party services, and you expressly relieve us from liability arising from your use of third-party services. 

6. Paid Services; Billing; Taxes; Subscriptions

Certain aspects of the Service may be free, while other aspects may require payment (“Fees”). By using paid features, you agree to the pricing and payment terms presented to you. We use third-party payment processors such as Stripe to process payments. Fees may be negotiable or vary by plan, and you authorize charges to your payment method according to your selected plan. 

Except where required by applicable law, you may not be entitled to refunds for cancellations, suspensions, or termination, and unused time or prepayments may be forfeited (unless we decide otherwise). 

7. Privacy; Data Security

7.1 Privacy

We care about your privacy. By using the Service, you acknowledge that we may collect, use, and disclose personal information and aggregated and/or anonymized data as set forth in our Privacy Notice, and that personal information may be transferred to and/or processed in the United States. 

7.2 Security

We care about integrity and security of personal information, but cannot guarantee that unauthorized third parties will never defeat security measures. You acknowledge you provide data at your own risk. 

8. Text Messaging and Calls

If we communicate with you by text message, messaging platform, or phone (including support calls), standard messaging and data rates may apply, and call recording may occur where permitted by law and disclosed. (This mirrors the concept in Poke’s Terms but is adapted to your actual channels.)

 

9. App Store Terms (If Applicable)

If you access the Service through an iOS or Android app, additional terms may apply from Apple or Google, and those entities may be third-party beneficiaries of these Terms as they relate to your license of the app. 

10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim warranties of any kind, and we do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content or information is accurate or reliable. Any content downloaded or obtained through the Service is at your own risk. 

AI outputs: You understand that AI-generated outputs may be inaccurate, incomplete, or inappropriate, and you are responsible for verifying outputs before relying on them.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Code Vibe or its indemnities be liable for indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, or data, arising out of or relating to your use of or inability to use the Service. 

Under no circumstances will we be responsible for damage, loss, or injury resulting from hacking, tampering, or other unauthorized access to or use of the Service or your User Account. In no event will our total liability to you exceed the amount you paid to us in the past 12 months or one hundred U.S. dollars ($100), whichever is greater. 

Some jurisdictions do not allow certain limitations; these disclaimers and limitations apply to the maximum extent permitted by law. 

12. Governing Law; Arbitration; Class Action/Jury Trial Waiver

12.1 Governing Law

These Terms will be governed by the laws of the State of Delaware, without respect to conflict-of-laws principles. The Federal Arbitration Act governs interpretation and enforcement of the arbitration agreement below to the fullest extent permitted by law (where applicable). (This tracks Poke’s structure but uses your chosen state.) 

12.2 Arbitration Agreement

READ THIS SECTION CAREFULLY. It requires arbitration of disputes and limits the manner in which you can seek relief. This arbitration agreement applies to any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service (“Claims”). 

Opt-out: If you are a new user, you may opt out of arbitration within 30 days of accepting these Terms by emailing hello@codevibe.ai with your full legal name and a statement of intent to opt out. 

Informal resolution first: Before arbitration, you agree to first contact us at hello@codevibe.ai and attempt to resolve the Claim informally. If not resolved after 60 days, the Claim will be resolved through binding arbitration before a single arbitrator, administered by JAMS under its applicable rules and procedures, unless otherwise required by law. 

Location: Arbitration will take place in the U.S. county where you live (if applicable) or New Castle County, Delaware, unless we agree otherwise. (This mirrors Poke’s approach but swaps in Delaware.) 

Small claims; injunctive relief: Nothing in this arbitration agreement prevents either party from seeking injunctive or equitable relief in court to prevent threatened infringement or misuse of intellectual property, data security, or confidential information, or from bringing qualifying claims in small claims court on an individual basis. 

12.3 Class Action/Jury Trial Waiver

BY ENTERING INTO THESE TERMS, YOU AND CODE VIBE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO BRING, JOIN, OR PARTICIPATE IN ANY CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING. This waiver applies to class arbitration, and unless we agree otherwise, the arbitrator may not consolidate more than one person’s claims. 

13. U.S. Government Restricted Rights

To the extent the Service is used by or on behalf of the U.S. Government, the Service is commercial computer software and documentation, and the Government receives only those rights granted under these Terms. 

14. Sanctions; Export Controls

You represent that you are not listed on U.S. sanctions lists and are not located in an embargoed country or territory, and you will comply with applicable export control and sanctions laws. 

15. General Provisions

These Terms include standard provisions regarding assignment, notices and changes, entire agreement, severability, and no waiver. We may modify these Terms from time to time, and your continued use of the Service after changes constitutes acceptance.
